Remuneration Committee

The Remuneration Committee consists of Peter Brown and Philip Dayer. Peter Brown is Chairman of Independent Remuneration Solutions Limited, an independent company, which advises on and helps implement Executive Directors' Packages, Annual and Long Term Incentives and Independent Directors' Fees to corporate bodies.

The committee is responsible for setting the terms and conditions of employment for the executive directors and met on two occasions during the year.

The current policy is to set remuneration in accordance with market conditions in order to attract, retain and motivate the executive board.

The committee reviews Group performance and arising from those reviews may determine performance related bonuses.

No director is involved in deciding his or her own remuneration level or performance related bonuses.

The fees for non-executive directors are set at smaller turnover AIM quoted market rates to attract individuals with the necessary experience and ability to make a substantial contribution to the Group's affairs and its continued development.

Audit Committee

Whilst the Audit Committee formally consists of Philip Dayer and Peter Brown, due to the size of the Company, any business relating to the audit has been considered by the full board.

Our audit partner can however raise any issues and request a meeting of the committee if it is felt that any governance or other issues need to be discussed without the executive directors attendance.



IPPlus Plc provides a 24/7 365 day a year bureau call centre service to a large range of clients, trading as Ansaback as well as developing and selling, on a globally, the CallScripter call centre management software suite.

Directors Duties and Biographical Details

Philip John Dayer LLB FCA - non-executive Chairman

Qualified as a chartered accountant with Peat, Marwick, Mitchell & Co and then pursued a corporate finance career in investment banking, specialising in advising small and mid-market UK companies. He was first appointed an Advisory Director at Barclays Merchant Bank Limited in 1983 and since then has held a position of corporate finance director with a number of banks. He retired from Hoare Govett Limited in 2004. Philip was a financial consultant to OJSC Rosneft Oil Company, the Russian state owned oil and gas company, on its flotation in 2006. Philip is a non-executive director of Dana Petroleum PLC, AVEVA Group PLC and a senior independent director of Arden Partners PLC and Cadogan Petroleum PLC.

Philip is Chairman of the Audit Committee.

William Alexander Catchpole - Managing Director

Was appointed Managing Director of the COUNTYWeb division of KDM International PLC in 1999, having been a Director of KDM for 16 years. He then oversaw the demerger of COUNTYWeb and coordinated a fundraising exercise and the subsequent introduction to the London Stock Exchange AIM market. The company was later renamed as County Contact Centres PLC and William has led the re-engineering of this business into its current successful model covering the Call Centre and Software markets.

William is responsible for implementing the Group strategy.

Robert Stuart McWhinnie Gordon BA FCMA - Financial Director and Company Secretary

Spent his early career in Management Accounting with the British Steel Corporation and Philips TMC in Glasgow. After relocating with the Philips Group he progressed to Chief Financial Accountant with AT&T and Philips Telecommunications and then to Financial Controller of a subsidiary of Electrolux. In late 1997 he took charge of the Management Accounting function of Grampian Country Pork (Suffolk) and by mid-1999 had accepted the Financial Directorship of Gibbs Palmer (Holdings) Limited. He was appointed to the Board in March 2000 and was key to the work leading to the company's introduction to AIM. Stuart is a Fellow of the Chartered Institute of Management Accountants.

Stuart is responsible for all Human Resource issues within the group.

Geoffrey Forsyth CEng MBCS CITP - Technical Director

After a career spent in the nuclear power industry Geoff joined KDM International PLC as the Internet Services Division Manager in 1996 and then played a key part in the demerger from KDM in 1999. He was responsible for the design, development and infrastructure of the COUNTYWeb Internet directory and has been instrumental in the design and development of the CallScripter software package used and sold by the company. Geoff is a member of the British Computer Society.

Geoff is responsible for all technical and systems issues as well as covering all Health and Safety matters.

Peter Michael Brown FCA - non-executive Director

Appointed to the Board in November 1999, and acted as Chairman to the Group from June 2001 until September 2006. He was Chairman of Dawson Holdings PLC from 1987-2005, during which he oversaw that company's admission to AIM in 1995 and its subsequent transfer to the Official List in 1998. He is Chairman of Synergy Holdings Limited, Independent Remuneration Solutions Limited, and is a Director of Goldshield Group Plc and Gabbitas Education Consultants Limited, as well as holding a number of other non-executive Directorships and charity trusteeships.

Peter is Chairman of the Remuneration Committee.

Stephen John Allen - non-executive Director

Joined the Board in February 2008. Stephen has 28 years' experience in computer networks, systems integration and performance optimisation software, in both the public and private sectors and has experience of selling software products on a global basis, Previously Stephen was a non-executive Director of Atlantic Global PLC, Senior Vice President of Witness Systems and Senior Vice President, EMEA of BEA Systems Inc.

Initially Stephen will have specific involvement in the software division to help drive the sector forwards.
